Pharmachute Merchant Terms of Use

Introduction

Welcome to Pharmachute, a collaborative platform designed to facilitate efficient and effective business operations for pharmacies. This agreement outlines the terms and conditions binding the relationship between Pharmachute Inc., a New York corporation (“Pharmachute”), and the pharmacies (“Merchants”) utilizing our services.

Article 1: General Provisions

1.1 Definition

Merchants authorize Pharmachute and its designated agents to act on their behalf in negotiating and agreeing on terms with the referred e-commerce platforms.

1.3 Dispute Resolution and Arbitration

Merchants agree to resolve any disputes through arbitration as outlined in the general terms, which may be updated periodically.

Article 2: Sales Channels

2.1 Request for Access and Eligibility

Merchants may request access to available sales channels facilitated through Pharmachute tools, subject to eligibility and onboarding processes as determined by Pharmachute.

Article 3: Tablet Usage Terms

3.1 Compliance and Regulatory Adherence

Merchants affirm compliance with all pertinent regulations and maintain good standing with applicable health and sanitation authorities.

3.2 Tablet Operation

Merchants must ensure that the tablets remain online, plugged in, and logged into the respective apps throughout their operational hours.

3.3 Revenue Sharing

Merchants will earn a revenue of $1 for each customer interaction facilitated through the tablet.

3.4 Fee Structure

Article 4: Intellectual Property

Merchants grant Pharmachute a non-exclusive right to use the merchant’s trademarks, logos, and other intellectual property for the sole purpose of promoting and facilitating the sale of the merchant’s products on the platform.

Article 5: Confidentiality

Both parties vow to maintain the confidentiality of all information obtained during the execution of the services.

Article 6: Warranty and Representation

Each signatory to this agreement affirms their unreserved authority to bind their representing party to all the terms and conditions outlined herein.

Article 7: Supersedence

This agreement supersedes all prior agreements and understandings between the merchant and Pharmachute, establishing the latest binding terms.
